Trading of the shares After the closing of the offer, the New Shares and all the Existing Shares of the Company shall be listed on Alternext™. Subscription of the new shares is not guaranteed. Consequently, trading of the new shares shall take place after the delivery of the certificate by the depositary and the trading of the new shares shall begin on the NSC system on 7 July 2006. Request for listing Euronext Brussels also received an application for listing on Alternext™ of: - New ordinary Shares resulting from the offer reserved for the staff of the company Emakina Group s.a. for an amount of maximum EUR 93,000 as decided by the Board of the company on 30.05.2006. Result/Admission Result of the offer (centralization by ING Belgium n.v.) Number of issued shares regarding the offer 857,380 new shares will be issued in this offer which results in a capital increase of EUR 7,33 million. Also 13.043 new shares will be issued at EUR 7.13 per share in the framework of a sparate offer for the staff of the company, which results in a acapital increase of EUR 92,997. Allocation of the shares In total 985,987 shares were allocated (857.380 new shares and 128.607 existing shares). All orders from private investors regarding 94,069 new shares will be allotted to them completely. As such about 9,5% of the total offered shares will be attributed to this category of investors; the remainder of the shares was attributed to institutional investors in Belgium and other European countries. Admission of the shares on Alternext As from 7 July 2006, the 3,435,409 existing EMAKINA Group s.a. ordinary shares will be listed on Alternext of Euronext Brussels. The trading will take place on the NSC system, single fixing-group EC.

Operation description
The shares offered in this public offering results from a public subscription offer for an amount of maximum EUR 10,000,000. The increase in capital giving rise to the issue of shares, which are the object of this public subscription offer, was approved by the Board, and grounded on a decision taken by the Extraordinary Shareholders’meeting of 24.05.2006 under the suspensive condition of the actual subscription of the new shares. There are no guarantees with regard to the issue of new shares. Consequently, - The increase in capital will be limited to the amount of actually subscribed amount. - Trading on the new securities will occur after the depository certificate has been issued, after the settlement-delivery date on 7 July 2006. - The trading of shares on the NSC system will start on 7 July 2006.
