Magnora Data Center ASA: Completion of three extraordinary general meetings

Reference is made to the stock exchange announcement published by Magnora Data
Center ASA (the “Company”) with OSE ticker “MDATA” on 2 June 2026 regarding a
successfully placed private placement (the “Private Placement”) and the
subsequent listing of the Company’s shares on Euronext Growth Oslo (the
“Listing”).
Three extraordinary general meetings were held today at 11:00, 16:00 and 16:30.
Background
The purpose of the extraordinary general meetings was to, inter alia, approve
the share capital increase pertaining to the Private Placement and to complete
the corporate approvals required to implement the Company’s share incentive
programme for board members, members of management and key personnel (the
"Incentive Programme"), including approvals required pursuant to section 8-10 of
the Norwegian Public Limited Liability Companies Act.
As certain members of the Company’s ordinary board of directors are expected to
participate in the share incentive programme, the Company considered it
appropriate to appoint an interim board of directors for the limited purpose of
considering and approving matters relating to the participation by board members
and the related financial assistance. The process was timed to take place after
receipt of the private placement proceeds — enabling preparation and approval of
an up-to-date interim balance sheet — but prior to registration of the new share
capital with the Norwegian Register of Business Enterprises. Following
completion of the approval of the incentive programme for the Board, the
ordinary board of directors was re-elected.
Resolutions
• The first extraordinary general meeting resolved to, inter alia, approve the
price and allocation of shares in connection with the Private Placement.
• The second extraordinary general meeting resolved to, inter alia, (i) approve
the interim balance sheet; (ii) approve the Incentive Programme; (iii) approve
the management's actions for the purposes of section 8-10 of the Norwegian
Public Limited Companies Act; (iv) approve the credit to be provided under the
Incentive Programme; and (v) approve the interim board of directors.
• The third extraordinary general meeting resolved to, inter alia, (i) approve
the Incentive Programme for the purposes of section 8-10 of the Norwegian Public
Limited Companies Act; (ii) approve the credit to be provided under the
Incentive Programme; and (iii) re-elect the new permanent board of directors of
the Company.
