ZITON A/S - RESULT OF SUMMONS FOR WRITTEN RESOLUTION AND UPDATE ON CONSENTS FROM ZITON’S LENDERS AND BONDHOLDERS

Reference is made to the stock exchange announcement by ZITON A/S (the
"Company") made on 11 October 2024 regarding the Company's instruction to Nordic
Trustee AS to summon for a written resolution for the Company's first lien bonds
issued with ISIN NO0012928185 (the "Bonds"). Reference is further made to the
Company's stock exchange announcement published on 27 September 2024 regarding
Macquarie Asset Management's ("Macquarie") (via Macquarie European
Infrastructure Fund 7) acquisition of the Company (the "Transaction").
The Company announces today that the proposed resolution was adopted according
to the voting requirements of the bond terms, approving Macquarie as a Permitted
Transferee under the bond terms.
Please find the related notice from the bond trustee attached.
In addition to the written bondholder resolution, the Company has in connection
with the Transaction obtained consents from the lenders under its senior secured
ESG-linked loan and the super senior working capital facility. The senior
secured ESG-linked loan and the super senior working capital facility are thus
expected to be retained in the capital structure of the Company following
completion of the Transaction.
Moreover, the second lien bonds issued with ISIN NO0012928169 will be purchased
by Macquarie at Closing of the Transaction.
