REXEL

Admission on Eurolist by Euronext:
- the shares comprising the equity of REXEL at the day of the admission, including (i) the shares resulting from the share split, (ii) the shares issued in connection with the merger of Rexdir SAS and Rexop SAS into Rexel, after exercise of the BSA, and (iii) the shares issued in connection with the reserved capital increase for the benefit of Ray Investment Sàrl;
- up to of 61,162,080 new shares obtained from a capital increase, effected as part of the introduction in the stock exchange;
- up to of 8,913,739 new shares obtained from a capital increase reserved to the Company's employees, and a capital increase reserved to BNP Paribas Arbitrage SNC, generating an operation note registered by the AMF.

A number of up to 62,095,662 shares at the maximum will be offered to the public by the way of a Global Placement and an Open-Price Offer - OPO (the "Offer"), comprising up to 61,162,080 new shares and 933,582 existing shares.

Extension clause: Depending on the demand, the number of shares could be raised by a maximum of 9,314,349 existing shares.

Over-allotment Option: the main shareholder will agree to grant the underwriters an over-allotment option to acquire up to 10,711,502 additional existing shares at the offering price (after exercise of the extension clause).

Rexel shares will be admitted temporarily on Eurolist by Euronext under the title "REXEL Promesses".
