Number of shares: 27,900,000 shares representing 90% of the Global Offering (before exercise of the Over-allotment option) - Global coordinators, Joint Lead Managers and Joint Bookrunners: BNP Paribas, CALYON, Goldman Sachs International, Société Générale Corporate and Investment Banking Open Price Offer procedure - Subscription open to Retail investors, legal entities and certain UCITS (Fonds Communs de Placement) - Number of shares: 3,100,000 shares representing 10% of the Global Offering (before exercise of the Over-allotment option) The shares offered will be allocated to the Global Placement and the OPO, based on demand, and if demand permitting, the numbers of shares allocated to the OPO will be at least equal to 10% of the total number of shares offered (before exercise of the Over-allotment option).

Operation description

Admission on Euronext Paris 61,524,360 existing shares representing the outstanding share capital of CFAO.
31,000,000 shares, before exercise of the Over-allotment option, will be offered to the public by the way of a Global Placement and an Open Price Offer.

Over-allotment option
The Selling Shareholder will grant to the Global Coordinators, Joint Lead Managers and Joint Bookrunners, acting on behalf of the underwriters, an over-allotment option to purchase up to 15% of the shares offered in the Global Offering, corresponding to a maximum of 4,650,000 existing shares. This option will be exercisable in whole or in part on one occasion at the offering price for up to 30 days from the date of publication of the offering price, i.e until 31 December 2009 at the latest, solely to cover over-allotments, and to facilitate stabilization activities, if any.
