Gold Road International p.l.c.: New shares issued

26 June 2026:
Reference is made to the stock exchange announcement made by Gold Road
International p.l.c. ("Gold Road" or the "Company") on 25 June 2026 regarding
the successful private placement (the "Private Placement") comprising (i) the
issue of 12,000,000 new shares, (ii) the sale of 2,000,000 existing shares, and
(iii) an over-allotment of 1,500,000 additional shares which arose as a result
of an over-subscription of shares, which over-allotment was satisfied via a
share lending arrangement entered into by the Company with an existing
shareholder.

In connection with the Private Placement, the Company has issued 12,000,000 new,
fully paid up, ordinary shares of a nominal value of USD 0.356074 each.

Following the aforementioned share issuance, the issued share capital of the
Company is USD 20,411,793.923216 divided into 57,324,584 ordinary shares having
a nominal value of USD 0.356074 each, all fully paid up.

For the avoidance of doubt, the authorised share capital of the Company has not
been affected by the share issuance, and remains that of USD 32,046,660 divided
into 90,000,000 ordinary shares with a nominal value of USD 0.356074 each.
