Ocean GeoLoop ASA: Issuance of underwriting commission shares and mandatory notification of trade

Reference is made to the stock exchange announcements made by Ocean GeoLoop ASA
(the "Company") on 12 May 2026 regarding the private placement of 72,000,000 new
shares in the Company. As described in the announcements, the underwriters of
the Private Placement are entitled to an underwriting fee in the amount of 5% of
their respective underwriting commitment, including in the case of Hans Gude
Gudesen, the bridge loan of MNOK 10 (plus accrued interests) granted by him
(which was converted to new shares earlier today, as announced separately). A
total of 3,830,684 new shares in the Company (the "Underwriting Commission
Shares") shall be issued to the underwriters of the Private Placement, at the
same subscription price as in the Private Placement (i.e. NOK 0.50 per share).

The Underwriting Commission Shares have been resolved issued by the Board of
Directors of the Company, in accordance with the board authorization granted by
the extraordinary general meeting of the Company held on 29 May 2026 (under
agenda item 9). Following registration of the share capital increase pertaining
to the issuance of the Underwriting Commission Shares, the Company's new share
capital will be NOK 3,023,635.54 divided on 151,181,777 shares, each with a par
value of NOK 0.02.

Please find attached a PDMR form in respect of the subscription of Underwriting
Commission Shares by Hans Gude Gudesen (primary insider of the Company).
