Norwegian Block Exchange (NBX) AS: Debt-to-Equity Conversion

Oslo, 4th June 2026. Norwegian Block Exchange AS (NBX), a leading digital asset
service provider in the Nordics, today announced a debt-to-equity conversion
aimed at strengthening the company's financial position, increasing regulatory
capital, and supporting its continued growth strategy.

The transaction involves the conversion of approximately NOK 19.8 million of
outstanding convertible debt (including accrued interest) into 73,456,592 new
equity shares, improving NBX's balance sheet structure and reducing ongoing
interest expenses. This conversion reflects stakeholder confidence in NBX's
future growth potential and market position.

The conversion is from Observatoriet Invest AS, a company closely associated
with board member Bjørn Kjos; Per Øyan AS, a company closely associated with
board member Ingvild Kjerkol; and board member Vegard Kristiansen.

Observatoriet Invest AS: Converted (NOK) 12,599,481. New shares 46,664,744
Vegard Kristiansen: Converted (NOK) 4,060,297. New shares 15,038,135
Per Øyan AS: Converted (NOK) 3,173,503. New shares 11,753,713

The agreed-upon contractual conversion price is NOK 0.27, consistent with the
price level of NBX's most recent rights issue. Following the conversion, Per
Øyan AS and Vegard Kristiansen have no remaining outstanding convertible debt
with the company.
