EAM Solar AS: Rights Issue – Confirmation of validity of settlement Agreement with Intesa Sanpaolo received

Reference is made to the Summons to the Annual General Meeting to be held on 17
June 2026, and the proposal under item 9. Rights Issue, section I, whereby
proceeds from the Equity Issue cannot be disbursed to the Company before a
confirmation of validity of the settlement agreement between EAM Solar AS and
Intesa Sanpaolo is received.
EAM received such confirmation from Intesa Sanpaolo today.
Consequently, there are no longer any hindrance for the Company to receive
proceeds from the equity issue and to utilise funds from the prefunding
agreement to pay the agreed settlement amount of EUR 2,5 million to Intesa
Sanpaolo post a positive decision by the Company's general assembly on 17 June
2026.
