Sentia ASA: Disclosure of large shareholding

Ratos Infra AB (“Ratos”), a wholly owned subsidiary of Ratos AB, has on 2 June
2026 sold 9,000,000 shares in Sentia ASA (“Sentia” or the “Company”),
representing 8.96% of the issued and outstanding shares in the Company, at NOK
72.40 per share for a total transaction size of NOK 651.6 million (the
“Transaction”).
Following completion of the Transaction, Ratos holds 30,936,813 shares in the
Company, representing 30.81% of the outstanding shares and votes, and thereby
reducing its ownership below the 1/3 disclosure threshold pursuant to the
Norwegian Securities Trading Act Section 4-2.
The sale of shares aims to improve long-term free float and liquidity in Sentia,
and reduce Ratos' ownership to a level consistent with its long-term ownership
ambition. Ratos is committed to remaining a long-term, leading shareholder in
Sentia and has in connection with the Offering entered into a 360-day lock-up
for its remaining shares in the Company, subject to certain customary
exceptions. Ratos is represented on the Board of Directors of Sentia.
DNB Carnegie, a part of DNB Bank ASA and Skandinaviska Enskilda Banken AB (publ)
acted as Joint Bookrunners in connection with the Transaction.
This announcement is made in accordance with the Norwegian Securities Trading
Act Section 4-2.
