Ocean GeoLoop ASA: New share capital and conversion to public limited liability company registered

Reference is made to the resolution by the extraordinary general meeting in
Ocean GeoLoop ASA (the "Company") held on 29 May 2026 to, inter alia, convert
the Company to a public limited liability company, with a preceding bonus issue
to satisfy the requirement for such conversion to have a minimum share capital
of NOK 1 million (the "Bonus Issue").

The conversion to a public limited liability company and the share capital
increase pertaining to the Bonus Issue have now been registered with the
Norwegian Register of Business Enterprises. The Company's new share capital is
NOK 1,054,309.54 divided on 52,715,477 shares, each with a par value of NOK
0.02.
