Axactor ASA – Share capital increase from Private Placement registered

Reference is made to the stock exchange announcement by Axactor ASA (the
"Company") on 28 April 2026 regarding the successful private placement (the
"Private Placement") of 466,063,829 new shares in the Company (the "Offer
Shares") at a subscription price of NOK 4.70 per Offer Share and the
announcement on 20 May 2026 regarding the extraordinary general meeting's
approval of the share capital increase pertaining to the Offer Shares.

The share capital increase pertaining to the Offer Shares issued in the Private
Placement has now been registered with the Norwegian Register of Business
Enterprises.

Following the registration of the share capital increase pertaining to the Offer
Shares issued in the Private Placement with the Norwegian Register of Business
Enterprises, the Company has a share capital of NOK 1,920,523,232.50 divided
into 768,209,293 ordinary shares, each with a nominal value of NOK 2.50.
