Ocean GeoLoop AS: Mandatory notification of trade

Reference is made to the stock exchange announcement made by Ocean GeoLoop AS
(the "Company") on 12 May 2026 regarding the conditional allocation of
72,000,000 new shares in the Company in a private placement (the "Private
Placement"). Reference is further made to the resolution by the extraordinary
general meeting in the Company held on 29 May 2026 to, inter alia, issue the new
shares in the Private Placement and to issue new shares through the conversion
of debt.

The attached PDMR forms are provided in respect of (i) the subscription of
26,000,000 new shares in the Private Placement by Hans Gude Gudesen (primary
insider); (ii) the subscription of 4,000,000 new shares in the Private Placement
by AB Investment AS (a close associate of primary insider and board member,
Anders Onarheim); (iii) the subscription of 20,613,698 new shares by Hans Gude
Gudesen through the conversion of debt; (iv) the subscription of 2,021,918 new
shares by AB Investment AS through the conversion of debt; and (v) the lending
of 22,000,000 shares by Hans Gude Gudesen in order to facilitate DVP settlement
in the Private Placement, as previously announced.
