REBIRTH S.P.A. – closes the capital increase and strengthens its capital structure

Formello, 26 May 2026 – Rebirth S.p.A. (ISIN Code: IT0005460081 - Ticker: ALREB), a dynamic company, specialized in the development and management of real estate assets, listed on the Euronext Growth Paris market, announces the closing of the capital increase resolved by the Board of Directors on 26 February 2026 which had decided to increase the share capital, in cash and in divisible form, for a maximum amount of €6,392,914 including a premium of €3,487,044, through the issue of a maximum of 2,905,870 newly issued ordinary shares having the same characteristics as those currently in circulation, at the issue price of €2.20, including a premium of €1.20, excluding the right of option, as it is reserved for strategic shareholders and investors, in line with the Company's interest in strengthening its capital structure and supporting the planned development initiatives.

At the close of the subscription period for the capital increase, the Board of Directors, held on May 25, 2026, approved the subscription and payment of 616,329 new ordinary shares of the Company, with no par value, having the same characteristics as the ordinary shares in circulation, for a total value of €1,355,923.00, including share premium, and resolved to increase the share capital by €616,329.00, or from €23,034,705.00 to €23,651,034.00.

The Board of Directors expresses satisfaction with the outcome of the transaction, which has allowed the Company to further strengthen its capital structure and confirm the support of strategic shareholders and investors for its development path. The funds raised will allow for the continued implementation of the industrial initiatives envisaged in the development plan, maintaining an approach based on financial discipline, sustainable growth, and medium- to long-term value creation.
