Wilh. Wilhelmsen Holding ASA: Edda Wind completes previously announced sale of fleet

With reference to our press release on 4 March 2026, we can confirm that on 29
April 2026 Edda Wind ASA completed the sale of its fleet of SOV/CSOVs (including
newbuildings) to: (i) North Star, a Partners Group portfolio company; and (ii)
an affiliate of Navigare Capital Partners A/S. In line with the agreed
transaction terms, one vessel will remain under the ownership of Edda Wind ASA
until certain conditions precedent are satisfied later in the year (anticipated
Q4 2026).
After accounting for Wilhelmsen’s total investment in Edda Wind ASA since 2020,
the transactions will generate a net cash flow of approximately USD 55 million
and a net positive accounting effect of USD 27 million for Wilhelmsen in the
second quarter.
Wilhelmsen New Energy AS, a firm controlled by Wilh. Wilhelmsen Holding ASA,
indirectly owns 37.76% of the entire issued share capital of Edda Wind ASA.
DNB Carnegie, a part of DNB Bank ASA, is acting as financial advisor and Schjødt
acted as a legal advisor to Edda Wind.
