Agilyx ASA – Mandatory Notification of Trade by Primary Insider

OSLO, Norway – 13 April 2026 – Agilyx ASA (OSE: AGLX, OTCQX: AGXXF, ISIN:
NO0010872468, WKN: A2QGQ) (“Agilyx” or the “Company”) has been notified that
Saffron Hill Ventures 3 LP, a close associate of primary insider and CEO Ranjeet
Bhatia, has sold convertible bonds in the Company with a par value of
approximately EUR 8.3 million.

The bonds have been acquired by funds managed by Heimdal Forvaltning AS, a
Stavanger-based Nordic asset manager specializing in fixed income and equity
funds. The transaction reflects continued support for Agilyx from high-quality
institutional investors with a long-term investment horizon.

Saffron Hill originally provided a loan facility to Agilyx in connection with
underwriting the Company’s investment into GreenDot Global. This loan was
subsequently converted into convertible bonds. The proceeds from this sale will
be used by Saffron Hill to repay financing it incurred to support its
participation in the GreenDot investment.

Following the transaction, Saffron Hill Ventures remains a significant
shareholder in Agilyx.
