Nordhealth AS: Amendment of performance-based options to executive management and key employees

Helsinki, Finland, 31 March 2026: A maximum of 7,217,260 performance-based
options linked to the Company's shares under an incentive scheme (the
"Options"), were granted to members of the Company's executive management and
key employees, on 30 September 2025.
The board of Nordhealth AS (the "Company") has today approved to amend the
strike price of all 7,217,260 of the granted options, from NOK 35.20 to NOK
30.00, under the following conditions:
· The start of the time-based vesting of the Options is reset to 31st March
2026, and the Options still vest quarterly over 4 years.
· The price-based performance thresholds remain unchanged (no Options vest
below 11% CAGR in the share price, with linear increase up to 25% CAGR).
· New condition: No Options vest below a minimum threshold of NOK 40.00 share
price.
· No increases have been or will be made to participants' salaries or bonuses
in 2026.
· The Option agreement remains the same in all other conditions.
