Techstep ASA: Issuance of shares to chairperson

Reference is made to the stock exchange announcement by Techstep ASA (the
"Company") on 27 February 2026 regarding the nomination of Arild Hustad as new
chairperson and the subsequent election at the extraordinary general meeting
held on 23 March 2026.

Hustad has, through Arisona Holding AS, undertaken to subscribe for 458,715
shares in the Company at a value of NOK 10.90 per share (corresponding to the
market price of the Company's shares on 20 February 2026) (the "COB Shares").
The purchase price payable for the COB Shares will be in two tranches of which
20% will be payable upon issuance of the COB Shares and with the remaining 80%
being contingent on the fulfilment of certain conditions as further described in
the investment agreement.

On this basis, the board has resolved to increase the Company's share capital by
NOK 458,715, by issuing 458,715 new shares to Arisona Holding AS at a
subscription price of NOK 2.18 per share.
