River Tech – Group Insolvency

Reference is made to previous announcements made by River Tech p.l.c. (the
“Company”) dated 12 and 19 March 2026.

On 20 March 2026, River Tech p.l.c. was informed that a resolution had been
passed by the board of directors of its subsidiary, River Technologies Limited
(the “Subsidiary”). Through this resolution, the Subsidiary’s board resolved
that the Subsidiary should file an application before the Maltese Courts for its
dissolution and consequential winding-up in accordance with Article 214 of the
Companies Act (Chapter 386 of the laws of Malta) (the “Companies Act”). This
decision was taken in light of the impact that the freezing order issued in
respect of Subsidiary’s operational bank account (the “Order”), which is
described more fully in the aforementioned announcements, had on the
Subsidiary’s solvency and its ability to pay its debts as they fall due.

At an extraordinary general meeting of the Subsidiary convened for this purpose,
the Company, as the sole shareholder of the Subsidiary, after having duly
considering the Subsidiary’s financial position also resolved in writing to file
an application for the Subsidiary to be dissolved and consequently wound-up by
the Court in accordance with Article 214 of the Companies Act.

Following careful consideration of these matters and of the Company’s own
financial position, the board of directors of the Company met on 20 March 2026
and resolved that an application be filed for the dissolution and consequential
winding‑up of the Company by the Court in accordance with Article 214 of the
Companies Act.

The Company has instructed its lawyers to file dissolution and winding up
proceedings in the Courts of Malta. Further updates will follow as the matter
progresses.
