Share capital increase – employees buys shares

According to the Power of Attorney given by the General Meeting 15.05.2025, the
Board of Directors in AF Gruppen ASA today has decided to carry out a share
issue of 3,614,814 shares as a private placement directed towards employees at
the company in order to exercise all outstanding share options.
The subscription price for 3,407,548 shares will be NOK 133.03 per share, for
115,258 shares the subscription price will be NOK 134.66 per share and for
92,008 shares the subscription price will be NOK 145.00. The total value of the
share issue is NOK 482,167,912.72.
The share issue will increase the share capital in AF Gruppen by NOK 180,740.70.
Following the share capital increase, the company's new share capital will be
NOK 5,683,572.25 divided into
113,671,445 shares, each with a nominal value of NOK 0.05.
Through this share issue, 1,002 AF employees buy 3,614,814 shares in AF Gruppen
ASA.
The company will send a separate stock exchange announcement as soon as the
share capital increase has been registered in the Norwegian Register of Business
Enterprises.
