ANNOUNCEMENT OF REGULATED INFORMATION

Theon International PLC (the “Company”) confirms that on 24 February 2026, Venetus Limited (“Venetus”) transferred 786,247 ordinary shares in the Company, at the price of €28.98 per share, by way of a transfer of shares to CHRE Investments Ltd (“CHRE”). As a result of the transfer, Venetus now holds a total of 46,857,691 ordinary shares in the Company and CHRE holds a total of 8,267,272 ordinary shares in the Company.

For the avoidance of doubt, noting that both Venetus and CHRE are persons closely associated with Mr. Hadjiminas, Mr. Hadjiminas’ interest in the Company is unaffected by this transaction. The above announcement is issued pursuant to article 19 of Regulation 596/2014 and the Transparency Directive 2004/109.
