Huddly AS – Minutes from Extraordinary General Meeting

Oslo, 11 March 2026: Reference is made to the stock exchange announcement by
Huddly AS (“Huddly” or the “Company”, ticker: HDLY) on 25 February 2026,
regarding notice of an extraordinary general meeting in the Company. The
extraordinary general meeting was held today on 11 March 2026 at 10:00 (CET).
The extraordinary general meeting resolved to (i) approve a share capital
increase related to the issuance of 3,750,000 new shares (the "Private
Placement"), and (ii) authorise the board of directors to issue new shares in
connection with the subsequent offering.
Settlement of the shares allocated to investors in the Private Placement is
expected to take place on or about 13 March 2026 on a delivery-versus-payment
("DVP") basis. The DVP settlement is facilitated by delivery of existing and
unencumbered shares in the Company already admitted to trading on Euronext
Growth Oslo, pursuant to a share lending agreement between the Company, Pareto
Securities AS (the "Manager"), Sonstad AS and Kolberg Motors AS. The shares
allocated to the investors in the Private Placement are thus tradable as of this
announcement.
Following registration of the share capital increase pertaining to the Private
Placement with the Norwegian Register of Business Enterprises, the Manager will
settle the share loan from Sonstad AS and Kolberg Motors AS with the new shares
issued at the general meeting. The new shares will be issued under the same ISIN
number as the Company's existing shares.
