KMC PROPERTIES ASA – UPDATE ON THE MERGER WITH BEWI INVEST AS

Oslo, 6 March 2026: Reference is made to the stock exchange announcement
published by KMC Properties ASA (the "Company") on 9 February 2026, regarding
the extraordinary general meeting's (the "EGM") approval of the merger plan for
a statutory all-share merger pursuant to Chapter 13 of the Norwegian Public
Limited Liability Companies Act with BEWI Invest AS ("BEWI Invest"), with the
Company as the surviving legal entity (the "Merger").

As part of its approval of the Merger, the EGM appointed a new board of
directors for the combined company with effect from completion of the Merger,
mirroring the board composition of BEWI Invest. The Company has been informed
that Bernt Thoresen, Hallbjørn Berg-Hansen and Anne Strøm Nakstad have resigned
from their positions on the board of directors of BEWI Invest and will
accordingly not take up directorship in the combined company.

The Merger is expected to complete early Q2 2026.
