COPENHAGEN, Denmark, 27 February 2026 – Napatech (OSLO: NAPA.OL) today reports
that it will increase its share capital by a nominal amount of DKK 21,275.25
corresponding to 85,101 new shares as a consequence of exercises of warrants as
part of Napatech’s incentive programs.
The shares are fully subscribed in cash at the following subscription prices:
• NOK 57,100 for 6,500 new shares, corresponding to NOK 8.78 per one new share
of DKK 0.25,
• NOK 250,000 for 50,000 new shares, corresponding to NOK 5.00 per one new share
of DKK 0.25,
• NOK 49,600 for 5,000 new shares, corresponding to NOK 9.92 per one new share
of DKK 0.25,
• NOK 6,670 for 1,334 new shares, corresponding to NOK 5.00 per one new share of
DKK 0.25,
• NOK 33,050 for 13,100 new shares, corresponding to NOK 2.52 per one new share
of DKK 0.25, and
• NOK 29,335 for 9,167 new shares, corresponding to to NOK 3.20 per one new
share of DKK 0.25.
The new shares are ordinary shares without any special rights and are freely
transferable negotiable instruments. The new shares give rights to dividends and
other rights in relation to the company as of the registration date with the
Danish Business Authority. The new shares will be listed on the Oslo Stock
Exchange as soon as possible thereafter.
The capital increase is carried out without any pre-emption rights for existing
shareholders or others and is expected to be carried out in the next few days.
