Reference is made to the stock exchange announcement made by Fjord Defence Group
ASA (the "Company") on 26 February 2026 regarding the successful completion of
the Acquisition (as defined therein), including the board of directors'
resolution to issue 6,870,673 new shares in the Company to be used as part
settlement of the consideration payable by the Company to the Sellers (as
defined therein) in the Acquisition (the "Consideration Shares").
The share capital increase pertaining to the issuance of the Consideration
Shares has today been registered with the Norwegian Register of Business
Enterprises:
Share capital (new): NOK 535,378,905.60
Total number of shares (new): 63,735,584 shares
Par value of each share: NOK 8.40
The Consideration Shares will be issued in the Norwegian Central Securities
Depository, Euronext Securities Oslo (VPS), on the Company's listed ISIN (NO 001
3647693) and are expected to be delivered to the Sellers on or about 26 February
2026.
