Panoro Energy ASA - Summons to Written Resolution of Bondholders

Oslo, 24 February 2026 - Panoro Energy ASA ("Panoro" or the "Company") has today
instructed Nordic Trustee AS to summon a written resolution for the Issuer's
senior secured bonds maturing 11 December 2029 with ISIN NO0013415786 (the
"Bonds"). The purpose of the written resolution is to propose certain amendments
to the Bonds in connection with the acquisition of a 40.375% increased interest
in Block G, Equatorial Guinea from Kosmos Energy (the "Proposal").

In connection with the Proposal, the Company has approached its largest
bondholders and bondholders representing >2/3s of the voting bonds have given
irrevocable undertakings to support the Proposal.
