AutoStore Holdings Ltd. - Exercise of share options under incentive plans and sale of option shares

(Nedre Vats, 12 February 2026): Reference is made to the 2019 equity incentive
plan and the 2022 long term incentive plan of AutoStore Holdings Ltd.
("AutoStore" or the "Company", OSE: AUTO).
In an exercise window opened in connection with the publication of the Company's
Q4 2025 results, option holders under the Company's 2019 equity incentive plan
have exercised a total of 220,000 options with a strike price of NOK 3.71745 per
option. No primary insiders of the Company have exercised any options in this
exercise window.
All the option holders who exercised options have chosen to exercise their
options with cash settlement by the Company. The Company have sold a total of
157,228 option shares at a price of NOK 13.0288 per option share to cash settle
the exercised share options. The Company holds 65,457,552 treasury shares
following the option exercise and the above-mentioned sale of option shares.
Following the exercise, there are 65,251,488 vested and 0 unvested options
remaining under the 2019 equity incentive plan, and 549,937 vested and 0
unvested options under the 2022 long term incentive plan (the option under the
2022 long term incentive plan has a strike price of NOK 21.88 each).
