Fourth quarter 2025 results and exploration of strategic alternatives

Ocean Sun has initiated an exploration of strategic alternatives to accelerate
the global scaling of its unique floating solar technology. The Company’s
patented and proprietary technology represents a proven innovation that is
commercially viable. It delivers documented efficiency gains through direct
water cooling, exceptional material efficiency, and robust performance across
both inland and near‑shore environments.

Ocean Sun currently has 14 projects implemented in seven countries. With the
completion of the Soneva Secret project, OSUN is ready for commercial ramp‑up of
its solution for nearshore sites and larger lakes, with a 12‑month pipeline
several times larger than the current installed capacity.

Ocean Sun sees a broader and growing international pipeline with increasing
interest from developers, utilities, and industrial stakeholders. The Board
believes this is a timely moment to evaluate pathways that could unlock the full
commercial potential of the Ocean Sun solution. As part of the review, the
Company has engaged Fearnley Securities as financial advisor to assist in this
process.
