Lifecare ASA: Share capital increase and warrants registered

Reference is made to the stock exchange announcement published by Lifecare ASA
(the "Company") on 29 January 2026 regarding the board of directors'
resolution to issue 12,000,000 new shares (the "Underwriting Commission
Shares") to the underwriters of the partially underwritten rights issue of new
shares in the Company (the "Rights Issue"), as settlement of their entitlement
to underwriting commission.

The share capital increase pertaining to the issuance of 12,000,000
Underwriting Commission Shares has now been registered with the Norwegian
Register of Business Enterprises. The Company's new share capital is NOK
19,106,097.30 divided on 191,060,973 shares, each with a par value of NOK
0.10.

The underwriters of the Rights Issue were allocated warrants in two series:
(a) three (3) warrants for every four (4) Underwriting Commission Shares
allocated to, and paid by, them in the Rights Issue, which will be exercisable
in the exercise period from 2 March 2026 to 13 March 2026 ("Warrants Series
1"); and (b) three (3) warrants for every four (4) Underwriting Commission
Shares allocated to, and paid by, them in the Rights Issue, which will be
exercisable in the exercise period from 1 June 2026 to 12 June 2026 ("Warrants
Series 2" and together with Warrants Series 1, the "Warrants"). The issuance
of the in total 18,000,000 Warrants allocated to underwriters of the Rights
Issue (divided on 9,000,000 Warrants Series 1 and 9,000,000 Warrants Series 2)
has now been registered with the Norwegian Register of Business Enterprises.
