Initial closing of transaction where MEAG joins Fred. Olsen Windcarrier

Reference is made to Bonheur ASA’s stock exchange announcement on 19 December
2025 informing that Fred. Olsen Ocean Ltd., a wholly owned subsidiary of
Bonheur, had entered into an agreement with MEAG MUNICH ERGO Asset Management
GmbH (MEAG) acting on behalf of affiliates of Munich Re Group, for an investment
in its wholly owned subsidiary, Fred. Olsen Windcarrier ASA (FOWIC).
The initial closing of the transaction materialized today, 3 February 2026. A
second closing is scheduled for the third quarter of 2027. As informed in the 19
December 2025 announcement, following the second closing affiliates of Münich Re
Group are expected to hold approximately 24 percent of FOWIC’s share capital.

Securities Trading Act.
