Reference is made to the stock exchange announcement published by Pryme N.V.
("Pryme" or the "Company") on 31 December 2025 relating to the subsequent
offering (the "Subsequent Offering") of up to 2,450,822 new shares (the "Offer
Shares") at a subscription price of NOK 4.00 per share. Reference is further
made to the Company's stock exchange announcement made on 22 January 2026
regarding the final results of the Subsequent Offering.
The issuance of 1,500,708 Offer Shares in the Subsequent Offering has taken
place in a notarial deed which has been filed with the Dutch Chamber of
Commerce. The resolution to issue the Offer Shares was made in accordance with
the authorization granted to the Company's board of directors in the
extraordinary general meeting held on 18 December 2025.
The 1,500,708 new shares have been delivered and are expected to be tradeable on
Euronext Growth Oslo on 30 January 2026.
Following this, the Company's registered share capital is EUR 15,549,370.50,
divided into 31,098,741 shares, each with a par value of EUR 0.50.
