Minutes of Extraordinary General Meeting

Golden Energy Offshore Services ASA (the “Company”) has today held an
extraordinary general meeting (“EGM”) as a virtual meeting with online
participation, as announced on 15 December 2025. All resolutions were made in
accordance with the proposals set out in the meeting notice, including to reduce
the par value of the Company’s shares from NOK 20 to NOK 8 and to increase the
Company’s share capital by issuance of 40,000,000 new shares (the “New Shares”)
pursuant to the private placement which was announced as successfully placed by
the Company on 12 December 2025 (the “Private Placement”).

Revised settlement and timeline of the Private Placement

The Private Placement is expected to be settled on a delivery-versus payment
(DVP) basis on or about 7 January 2026, with first day of trading on Euronext
Growth Oslo of the New Shares expected on or about 6 January 2026, subject to,
among other things, registration of the share capital increase pertaining to the
New Shares in the NRBE.

12 December 2025 for more information regarding the Private Placement.
