Mandatory notification of trade in connection with Private Placement

Ålesund, 29 December 2025

Reference is made to the stock exchange announcement made by Golden Energy
Offshore Services ASA (the “Company”) on 12 December 2025 regarding the
successful placement of a private placement (the “Private Placement”) of new
shares in the Company.

Further reference is made to the stock exchange announcement by the Company
earlier today where the Company published the minutes from the extraordinary
general meeting of the Company held earlier today where, amongst other things,
the share capital increase pertaining the Private Placement was approved.

The following primary insiders and/or close associates of primary insiders have
been allocated and will be delivered shares in the Private Placement at the
offer price of NOK 8.00:

• Clear Ocean GEOS MI LP (affiliate of Clear Ocean Partners), the largest
shareholder of the Company with 39.03% of the current shares outstanding, a
company associated to the primary insiders Jake Scott (chairman of the board)
and G. Andy Tuchman (board member) has been allocated 19,735,691 offer shares in
the Private Placement.

• Pelagic Investment Fund RAIF V.C.I.C. PLC (affiliate of Pelagic Partners), the
second largest shareholder of the Company with 23.63% of the current shares
outstanding, and a company associated to the primary insider Atef Abou Merhi
(board member), has been allocated 10,725,725 offer shares in the Private
Placement.

• Per Ivar Fagervoll, the Company’s CEO, has been allocated 1,981,264 offer
shares in the Private Placement.

• Vidar Skjong, Chief Technical Officer in the Company, has been allocated 3,125
offer shares in the Private Placement.
