Pryme N.V. – New share capital issued

Rotterdam, 22 December 2025

Today, Pryme N.V. (the “Company”) has issued 14,714,538 new shares in its
capital.

The issuance of shares has taken place in a notarial deed and has been filed
with the Dutch Chamber of Commerce today. These new shares have been delivered
today and are immediately tradeable on Euronext Growth Oslo.

The Company's registered share capital following today’s issuance of shares is
EUR 14,799,016.50, divided into 29,598,033 shares, each with a par value of EUR
0.50.

The issuance of shares took place in order to satisfy the Company’s private
placement of 2 December 2025 (the “Private Placement”), as approved by the
Company’s extraordinary general meeting of shareholders on 18 December 2025. The
issue price was EUR 0.50 per share of which EUR 0.3398 per share was paid by the
participants in the Private Placement, corresponding to approximately NOK 4.00
per share at the time of the Private Placement, and EUR 0.1602 per share was
charged against the Company’s share premium reserve.
