COMPLETION OF RE-REGISTRATION AS A PUBLIC LIMITED COMPANY

Blackburn, United Kingdom – 19 December 2025 – Vital Energi Midco PLC (formerly
Vital Energi Midco Limited) (Euronext code: NO0013622878) today announces that
it has successfully completed its re-registration as a public limited company
(PLC) under the laws of the United Kingdom of Great Britain and Northern
Ireland.

Following the notification of intention issued on 12 December 2025, and in
compliance with the provisions of the Companies Act 2006, the Company has
formally adopted new Articles of Association and changed its legal name from
Vital Energi Midco Limited to Vital Energi Midco PLC.

In accordance with its continuing obligations as an issuer listed on the
Euronext ABM, the Company provides the following information:

Documentation: The newly adopted Articles of Association and the Written
Resolution approving the change of status have been filed with the relevant

listed debt issuer and enhancing its corporate governance framework.

Regarding the Certificate of Re-registration, the Company confirms that the
application has been successful and has been processed by Companies House. The
formal certificate is available for inspection on the public register.

This announcement is made in satisfaction of the Issuer’s disclosure
requirements under the Euronext ABM rules and the terms of the GBP 175,000,000
Senior Secured Bonds.
