Finanstilsynet, in capacity as takeover supervisory authority, has approved the
offer set out in the offer document dated 18 December 2025 in respect of:

Voluntary offer to acquire the shares in Spir Group ASA made by Bidco Clover AS

Offer price: NOK 8.567 per share in cash

Acceptance period: From and including 19 December 2025 to 16:30 hours (CET) on
16 January 2026 (subject to extension)

Receiving agent: Nordea Bank Abp, filial i Norge
