Dellia Group ASA – New share capital increase registered

Reference is made to the stock exchange announcement made by Dellia Group ASA
("Dellia" or the "Company") on 9 December 2025 regarding the successful private
placement raising gross proceeds of NOK 201.5 million (the "Private Placement")
by issuance of 650,000 new shares at a subscription price of NOK 310 per share.
The share capital increase in Dellia has now been registered with the Norwegian
Register of Business Enterprises:
– Share capital: NOK 5,460,000 (new)
– Total number of shares: 5,460,000 (new)
– Par value per share: NOK 1.00
The new shares will be issued to the manager in the Private Placement and will
be re-delivered by the manager to Storli Holding AS in accordance with the terms
of a share lending agreement.
This information is subject to the disclosure requirements pursuant to section
5-12 of the Norwegian Securities Trading Act and Euronext Oslo Rule Book II -
Issuer Rules.
