Ax INV1 Holding AS –SuperOffice AS Acquisition of Lyyti Oy

Issuer
Ax INV1 Holding AS
Oslo, Norway – 8 December 2025 – Ax INV1 Holding AS (“Ax INV1
Holding”), through its wholly owned
subsidiary SuperOffice AS (“SuperOffice”), has entered into an agreement
to acquire Lyyti Oy, a leading Nordic event-management software company used by
thousands of organizations across Europe. The transaction is expected to close
in Q4 2025, subject to customary closing conditions.
Lyyti generates approximately NOK 100 million in annual revenue, with 90%
recurring revenue, and adds more than 26 million annual event participants and
over 100,000 events to the SuperOffice ecosystem. Following completion,
SuperOffice’s total recurring revenue will approach NOK 800 million,
representing a 13% uplift. The acquisition strengthens SuperOffice’s product
capabilities in event management and supports the company’s strategy to build
Europe’s most loved CRM platform. The combined group will enhance its ability to
invest in product development and innovation, with immediate commercial
synergies expected across both customer portfolios. This is SuperOffice’s second
strategic acquisition in the past six months, following the acquisition of
Swedish company i-Centrum announced in August 2025. With the support of majority
owner Axcel, SuperOffice continues to execute a targeted M&A strategy to expand
its market presence and product offering in Europe.
The acquisition will be financed through a combination of own cash resources,
reinvestment from the Lyyti management group, and an external credit facility.
