Oslo, 5 December 2025: Reference is made to the announcement by Otovo ASA (the
"Company" or "Otovo") on 6 November 2025 regarding a combination agreement
entered into with Onvis inc., whereby the Company will acquire up to all issued
and outstanding shares in Onvis against newly issued shares in Otovo (the
"Consideration Shares") (the "Transaction").
Pursuant to and in accordance with Article 1 (5) (e) of the EU regulation on
prospectuses, as implemented in Norway in accordance with § 7-1 of the Norwegian
Securities Trading Act, Otovo has prepared an exemption document that describes
the main features of the Transaction (the "Exempted Document"). The Exemption
Document has been prepared exclusively for use in connection with the listing of
the Consideration Shares on Euronext Oslo Børs. The Consideration Shares are
expected to be issued by an extraordinary general meeting of the Company
scheduled to be held on 5 December 2025 (the "EGM"). The Consideration Shares
will, subject to the EGM, be issued to the shareholders of Onvis as of the date
of completion of the Transaction, which is planned to be carried out on 5
December 2025.
Trading in the Consideration Shares on Euronext Oslo Børs under the Company's
ordinary ISIN NO0010809783 is, subject to timely registration of the share
capital increase resolved at the EGM in the Norwegian Register of Business
Enterprises, expected to commence on or about 9 December 2025 under the ticker
“OTOVO”.
The Exemption Document does not constitute an offer or solicitation to buy
securities issued by Otovo, nor is any offer to buy or sell securities made
through the Exemption Document.
