Bouvet ASA – Sale of Own Shares and implementation of Employee Share Purchase Program

Bouvet ASA has resolved to implement the company’s employee share purchase
program and to sell own shares to cover allocations under the program. The
decision has been made pursuant to the authorization granted by the Annual
General Meeting.
In the ordinary employee share purchase program, a total of 1,856 employees have
subscribed for 475,537 shares. The subscription price is NOK 46.0150 per share,
representing a 20 percent discount compared to the average market price during
the subscription period. In addition, 185 employees have participated in the
share purchase program for senior executives, subscribing for 70,330 shares at a
price of NOK 57.5534 per share, without any discount.
As part of the settlement, 335,180 bonus shares have been allocated to
participants in the 2022 share purchase program. These bonus shares are free of
charge for the recipients.
To facilitate the share purchase program and the bonus share allocation, the
Board has resolved to sell 881,047 of the company’s own shares. Following the
sale, Bouvet ASA will hold 437,585 own shares.
The sale is expected to be completed by 4 December 2025.
