Resolution to increase share capital

Karbon Equity AS (the “Company”) has today resolved to increase the Company’s
share capital with NOK 690,616.93 to NOK 69,752,309.93 by increasing the nominal
value of the shares from NOK 1 to NOK 1.01 per share. The increase in nominal
value has been subscribed for by Karbon Equity Holding AS.
The share contribution is settled by Karbon Equity Holding AS transferring to
the Company certain assets and conversion of shareholder debt with a total value
of NOK 320,453,579, whereas NOK 0.01 represents share capital and approx. NOK
4.630106 represents share premium per share.
Following registration of the share capital increase the Company’s share capital
will be NOK
69,752,309.93, divided on 69,061,693 shares, each with a nominal value of NOK
1.01.
