Otovo ASA: Notice of Extraordinary General Meeting

Oslo, 14 November 2025

Reference is made to the stock exchange notice sent 6 November 2025 regarding
the combination of Otovo ASA (“Otovo” or the “Company”) and Onvis Inc. In this
regard, an extraordinary general meeting will be held on Friday 5 December 2025
at 09:00 CET as a digital meeting.

The notice and agenda of the general meeting is attached to this message. The
notice and all appendices are also available at:
https://investor.otovo.com/reports.

All shareholders wanting to attend and vote at the General Meeting must register
their attendance by 3 December 2025 at 16:00 hours (CET). Further information
about registration and digital attendance to the meeting is included in the
notice.

Furthermore, reference is made to the stock exchange announcement published by
Otovo on 6 November 2025 at 16:30, regarding the launch of a private placement
at NOK 1.00 per share and the intention to carry out a subsequent repair
offering. The Board of Directors of the Company has resolved not to proceed with
the subsequent repair offering.

The background for the cancellation of the subsequent repair offering is that
the Company's shares have traded at or below the subscription price in the
private placement for an extended period of time and at sufficient volumes.
Shareholders wishing to reduce the dilutive effect of the private placement have
thus had the opportunity to purchase shares in the market at prices at or below
the price which would have been the subscription price in the subsequent
offering.
