Oslo, 28 October 2025: Reference is made to the stock exchange announcements on
27 October 2025, whereby Appear ASA ("Appear" or the "Company") announced the
terms of the initial public offering of its shares (the "Offering", and together
with the listing of the Company's shares on the Oslo Stock Exchange, the "IPO")
and the approval and publication of the prospectus for the IPO (the
"Prospectus").

The Prospectus was published on 27 October 2025 and is, subject to regulatory
restrictions in certain jurisdictions, available at
https://www.abgsc.com/transactions and www.dnb.no/emisjoner and at the websites
of the Company, www.appear.net. In addition, the Prospectus may be obtained at
the websites of Nordnet (acting as placing agent for the Offering) at the

The Offering comprises an institutional offering (the "Institutional Offering"),
a retail offering in Norway and Sweden (the "Retail Offering"), and an Employee
Offering for employees in Norway and Sweden (the "Employee Offering").
Applications in the Retail Offering and the Employee Offering can be made
through the websites listed above, or by using the application form appended to
the Prospectus, from commencement of the application period for the Retail
