B2 Impact ASA: Disclosure of Large Shareholding and Mandatory Notification of Trade

Reference is made to the announcement on 14 May 2025 regarding the conditional
agreement by Nevedal Invest AS ("Nevedal Invest") to acquire 52,913,000 shares
in B2 Impact ASA (the "Company") (the "Transaction") and to the announcement on
28 August 2025 regarding regulatory approval from the Financial Supervisory
Authority of Norway.
Reference is further made to the announcements on 5 September 2025 and 8
September 2025 regarding the completion of Nevedal Invest's acquisition of
32,913,000 shares in the Company, constituting the first tranche of the
Transaction. Following completion of the first tranche, Nevedal Invest held
69,740,738 shares in the Company, representing approximately 18.86% of the total
shares and votes.
Nevedal Invest has today, 23 October 2025, completed the acquisition of an
additional 20,000,000 shares in the Company. Following completion of this second
tranche of the Transaction, Nevedal Invest holds 89,740,738 shares in the
Company, representing approximately 24.27% of the total shares and votes.
Nevedal Invest is a company owned by Gulen Invest AS and SOF II B2I UK, a legal
entity ultimately controlled by Searchlight Opportunities Fund II GP, L.P.
Nevedal Invest is a close associate of board member and primary insider in the
Company, Prateek Puri. Please refer to the attached notification form for
further details.
This disclosure is made pursuant to Section 4-2 of the Norwegian Securities
Trading Act (large shareholding notification) and Section 5-12 of the Norwegian
Securities Trading Act and Article 19 of the Market Abuse Regulation (mandatory
notification of trades by persons discharging managerial responsibilities and
persons closely associated with them).
