Development in Matter Between Intesa Sanpaolo and EAM Solar

Reference is made to the Company’s communication on 20 October 2025 in relation
to the ongoing discussions between EAM Solar AS and Intesa Sanpaolo.
Due to the progress of the ongoing negotiations, the parties have agreed to
petition the court of appeal for a postponement of the hearing on stay of
execution, currently scheduled for 5 November 2025.
In addition, Intesa Sanpaolo has agreed not to enforce the Brescia Judgement
against EAM until the earlier of either a signed settlement agreement or the
conclusion of the hearing on stay of execution. It is not yet confirmed if and
when the postponed hearing will take place. The Company will revert to the stock
market once this is known.
Reference is also made to the ongoing NOK 20 million Rights Offering.
Due to the development mentioned above, the Company will publish a supplementary
prospectus (‘tilleggsprospekt’). Such supplementary prospectus is expected to be
published tomorrow.
The Company will revert with further information as soon as the Supplemental
Prospectus is published.
