Signs final agreement to acquire the ViaNova companies

Multiconsult ASA (OSE: MULTI) has signed a final Share Purchase Agreement (SPA)
for the acquisition of all issued and outstanding shares in ViaNova AS, ViaNova
Trondheim AS, ViaNova Kristiansand AS, and ViaNova Eureka AS (collectively
referred to as "ViaNova").

This agreement follows the Letter of Intent (LOI) entered into in June 2025. The
transaction is aligned with Multiconsult's strategic ambition to strengthen its
position within mobility and transportation. Closing is expected mid November
2025, subject to approval by the Norwegian Competition Authority.

ViaNova, with 129 employees, is a well-established provider of advisory
engineering and consultancy services within transportation and mobility. The
acquisition will enhance Multiconsult's professional capacity and regional
presence.
