Fibo Group AS – Receipt of regulatory approval for the sale of 100% of the shares in Fibo Holding AS with subsidiaries to Norcros plc

Reference is made to the announcement on 15 July 2025, regarding the agreement
between (1) Norcros Industry (International) Limited ("Norcros") (2) Norcros plc
and (3) the existing shareholders of Fibo Holding AS ("Fibo") for the
acquisition by Norcros of 100% of the shares in Fibo (the "Transaction"). Fibo
is pleased to announce that the required regulatory approvals for completion of
the Transaction have now been received and the Transaction is expected to
complete today.
As previously announced, Fibo intends to fully redeem the senior secured bonds
issued by its subsidiary Fibo Group AS with ISIN NO 0011204356 subject to
completion of the Transaction. Further details will be given in a separate
announcement.
