Hawk Infinity Software AS – Agreement on Acquisition of Minority Stake in Digiflow AS

Hawk Infinity Software AS (“HIS”) has entered into an agreement to acquire the
remaining 33% of the shares in Digiflow AS (“Digiflow”) for NOK 267 million. The
majority of the consideration will be settled in shares of HIS’s parent company,
Hawk Infinity AS (“HI”). Following the transaction, HIS owns 100% of Digiflow.
The parties have also agreed to settle all remaining deferred payment
obligations related to Digiflow for NOK 25 million, which will be settled in HI
shares.

Digiflow is the market leading provider of managed IT services to Norwegian
SMBs, delivering cloud infrastructure, cybersecurity, hosting, and operational
support. The company has experienced strong growth since HIS acquired a majority
stake in July-24. The company has an unaudited LTM EBITDA of NOK 61 million per
end of Aug-25, representing an increase of roughly NOK 12 million or 24%
compared to the time of acquisition (LTM June-24) driven by top line growth.

HIS has during the last years increased its ownership in several companies where
the selling founders retained minority stakes in connection with the original
acquisition, with the acquisitions of minority stakes being largely settled with
shares in HI. Since Q1 2024, HIS has done this with minority stakes in Norbits
AS, Marketplace AS, Comby Group A/S, Nytt Foretak AS, Motiontech AS and Digiflow
AS. HIS’ pro-rata share of consolidated EBITDA after the transaction with
Digiflow stands at 98%.

The acquisition will be funded through available liquidity and an equity issue
in HIS towards Hawk Infinity AS.
