BEWI ASA: Cancellation of Subsequent Offering

Reference is made to the stock exchange announcement made by BEWI ASA ("BEWI" or
the "Company") on 20 August 2025 regarding the successful private placement
raising gross proceeds of NOK 896 million (the "Private Placement"), and a
potential subsequent offering directed towards eligible shareholders (as
described therein) of up to 3,000,000 new shares in BEWI (the "Subsequent
Offering"), at a subscription price of NOK 20 per share (the "Subscription
Price"), equal to the price per share in the Private Placement.
Following the announcement of the completion of the Private Placement on 20
August 2025, more than 8.6 million shares (i.e. approximately 2.9 times the size
of the Subsequent Offering) have been traded on Euronext Oslo Børs at or below
the Subscription Price and with a volume-weighted average price (VWAP) per share
of NOK 18.7. The latest closing price per share on Euronext Oslo Børs was NOK
17.6, i.e. well below the Subscription Price.
Accordingly, any existing shareholder wishing to reduce the dilutive effect of
the Private Placement has had
sufficient opportunity to purchase shares in the market at prices at or below
the Subscription Price. On this background, the board of directors of BEWI has
today resolved not to proceed with the Subsequent Offering.
