Smartoptics Group ASA: Disclosure of shareholding

23 September 2025: K-Spar Industrier AS ("K-Spar Industrier") has today sold
6,576,422 shares in Smartoptics ASA (the "Company"), representing approximately
6.71% of the share capital and votes in the Company, at a price of NOK 22.00 per
share for a total transaction size of NOK 145 million (the "Transaction").

Following completion of the Transaction, K-Spar Industrier will own 6,500,000
shares in the Company, representing approximately 6.63% of the Company, and its
shareholding will as such fall below the 10% disclosure threshold of the
Norwegian Securities Trading Act. K-Spar Industrier has entered into a customary
180-days lock-up agreement for its remaining shareholding in the Company after
the Transaction.

ABG Sundal Collier ASA and Skandinaviska Enskilda Banken AB (publ) acted as
joint bookrunners in connection with the Transaction.

This disclosure is made pursuant to section 4-2 of the Norwegian Securities
Trading Act. 6.63
